Deutsche Telekom is T-Mobile,- Lightsquared, Harbinger Capital Partners and Philip Falcone is in business with T-Mobile in such a way that decisions that Deutsche Bank National Trust Company influences would just about have to be in the best interest of Harbinger Capital Right ?

Deutsche Bank National Trust Company is influencing the TerreStar Shareholders, Creditors and the Sale of TerreStar and Yet Deutsche Bank is Connected to Deutsche Telekom, and So whatever decisions that Deutsche Bank National Trust Company makes on "behalf" of the "supposed" highest Fiduciary Honor of the TerreStar Creditors will actually benefit Lightsquared, Philip Falcone, Harbinger Capital Parnters WHICH is in Business with T-Mobile which is Deutsche Telekom, Right?

"Deutsche Telekom, Sprint Said to Discuss T-Mobile USA Deal

Deutsche Telekom AG (DTE) has held talks to sell its T-Mobile USA unit to Sprint Nextel Corp. (S) in exchange for a major stake in the combined entity, said people with knowledge of the matter.

Talks have been on and off, and a deal may not be reached, said the people, who spoke on the condition of anonymity because the talks are private. The companies haven’t been able to agree on the valuation of T-Mobile USA, which reported a drop in profit in the fourth quarter, the people said. Sprint rose 6.7 percent to $4.78 in early U.S. trading, and Deutsche Telekom gained as much as 6.1 percent to 10.22 euros in Frankfurt.

A merger of Sprint and T-Mobile USA would combine the third- and fourth-largest U.S. wireless providers behind Verizon Wireless and AT&T Inc. (T) Sprint’s market value was $13.6 billion as of yesterday’s close. T-Mobile USA may be valued at 16.3 billion euros ($22.6 billion), based on a January estimate by Michael Kovacocy, an analyst at Evolution Securities in London.

“In general, all options are open in the U.S. -- the sale of the whole business or of parts,” Deutsche Telekom Chief Financial Officer Timotheus Hoettges said in an e-mailed response today. He said the company could also find a partner, sell shares in the market or form a network agreement.

Bill White, a spokesman for Overland Park, Kansas-based Sprint, declined to comment.

Customer Losses

A tie-up would allow Bonn-based Deutsche Telekom, Europe’s largest phone company, to keep a stake in one its biggest markets while making it easier to finance investments for a faster next-generation network.

T-Mobile, which accounts for about a quarter of Deutsche Telekom’s sales, has lost customers at an accelerated rate as it trailed rivals in building out a third-generation mobile network and missed out on being able to sell Apple Inc.’s iPhone. About 56,000 customers abandoned T-Mobile USA last year, while Sprint, AT&T and Verizon Wireless all boosted their counts.

Talks have included discussion of Deutsche Telekom owning about 50 percent of a combined T-Mobile USA-Sprint, one person said. Sprint had revenue of about $32.6 billion in 2010, while T-Mobile USA recorded revenue of $21.4 billion.

‘Flexibly Positioned’

T-Mobile USA is also discussing buying wireless spectrum from Clearwire Corp. (CLWR) as an alternative to a merger with Sprint, two people said. Deutsche Telekom’s Hoettges said last month that buying U.S. wireless spectrum from Clearwire is only one option for the German phone company. He ruled out an outright sale of T-Mobile in the U.S.

“We’re flexibly positioned,” Hoettges said today, adding that Deutsche Telekom is working on several options. “We’re not under pressure. We want the best solution.”

Sprint is the majority owner of Kirkland, Washington-based Clearwire.

Sprint is also in talks with LightSquared Inc., a wireless startup founded by billionaire Philip Falcone and backed by his Harbinger Capital Partners hedge fund, three people familiar with the talks said last month.

LightSquared, which is seeking to sell 4G capacity in the U.S., may strike a deal to use Sprint’s cell sites and equipment to build out its network.

Sprint said in December it is going to spend up to $5 billion over the coming three to five years to upgrade its network to allow it to combine the disparate spectrum bands it uses onto a single type of base station.

This agreement will enable devices to have ubiquitous mobile communications coverage from anywhere in North America, including areas where traditional cellular service is currently unavailable or unreliable.

Under the agreement, Qualcomm will integrate satellite and cellular communication technology in select multi-mode mobile baseband chips.

As a result, for the first time ever, satellite connectivity will be enabled in mass-market wireless handsets and devices.

The same mobile chipsets forming the heart of handsets and other devices will enable handset vendors to produce satellite-capable devices at comparable scale and cost.

Under the agreement, Qualcomm will develop a satellite protocol and include it in the firmware of select upcoming Qualcomm multi-mode baseband chips.

Qualcomm will also support the L- and S-Band frequencies, in which MSV and ICO operate, in select RF processors.

The new chips are expected to be available beginning in 2010. Qualcomm will sell and support its hybrid mobile satellite services (MSS)/terrestrial chipsets to mobile device vendors in the same manner it does today.

This will enable terminal OEMs to provide a full range of handhelds and mobile computing devices capable of terrestrial connectivity with 3GPP and 3GPP2 technologies across the L- and S-Bands, as well as a wide range of existing mobile terrestrial bands.

Groundbreaking Technology Agreement Enabling First-Ever Integration of Satellite
Communications into Mass Market Cellular Handsets and Devices

Reston, Va., September 22, 2008 –

Combined satellite-cellular communications will become a reality for consumers, enterprise, government and public safety users with an agreement announced today by and among Mobile Satellite Ventures LP (MSV), a subsidiary of SkyTerra Communications, Inc. (OTCBB: SKYT), ICO Global Communications (Holdings) Limited (ICO) (NASDAQ: ICOG), and Qualcomm Incorporated (NASDAQ: QCOM).

This agreement will enable devices to have ubiquitous mobile communications coverage from anywhere in North America, including areas where traditional cellular service is currently unavailable or unreliable.

Under the agreement, Qualcomm will integrate satellite and cellular communication technology in select multi-mode mobile baseband chips.

As a result, for the first time ever, satellite connectivity will be enabled in mass-market wireless handsets and devices.

The same mobile chipsets forming the heart of handsets and other devices will enable handset vendors to produce satellite-capable devices at comparable scale and cost.

"This agreement marks a truly historic milestone in the evolution of the wireless industry," remarked Alex Good, chairman, CEO and president of SkyTerra.

"For the first time, satellite communications can achieve economies of scale traditionally enjoyed in the cellular marketplace today.

Combined with our powerful next-generation satellites, Qualcomm's technology will enable mobile communications between terrestrial and satellite network layers using ordinary mobile devices."

"Through our current contract with Qualcomm on satellite technology we have seen the depth of experience that they bring to this project. In addition, we look forward to working with our colleagues at MSV as we collaboratively develop this new technology."

"Qualcomm's satellite technology extends 3G to yet another dimension of wireless communications," said Peggy Johnson, executive vice president of Qualcomm America's and India.

"Our work with MSV, ICO and other market innovators will enable innovative hybrid services and help pave the way for new uses of the mobile satellite bands."

Under the agreement, Qualcomm will develop a satellite protocol and include it in the firmware of select upcoming Qualcomm multi-mode baseband chips.

Qualcomm will also support the L- and S-Band frequencies, in which MSV and ICO operate, in select RF processors.

The new chips are expected to be available beginning in 2010. Qualcomm will sell and support its hybrid mobile satellite services (MSS)/terrestrial chipsets to mobile device vendors in the same manner it does today.

This will enable terminal OEMs to provide a full range of handhelds and mobile computing devices capable of terrestrial connectivity with 3GPP and 3GPP2 technologies across the L- and S-Bands, as well as a wide range of existing mobile terrestrial bands.

"The integrated satellite-terrestrial market presents an exciting opportunity with more than 100 MHz of spectrum potentially addressable on a global basis," added Good. "We anticipate that additional operators will take advantage of satellite data optimized technology as the systems evolve."

In connection with entering into the agreement, subject to certain rights of termination, MSV and ICO have entered into a mutual non-assertion agreement with respect to relevant aspects of their respective patent portfolios as well as certain other related agreements to the Qualcomm development effort.
